These Terms and Conditions ("Terms") govern your access to and use of the CDK Insights software, website, services, and associated products (collectively, the "Services"), operated by CDK Insights, Lee Priest trading as Instance Labs ("Company", "we", "our", "us").

By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Services Overview
   CDK Insights is a SaaS platform that provides code analysis for AWS CDK stacks, including static checks and AI-powered recommendations.
2. Eligibility
   You must be at least 18 years old or the age of majority in your jurisdiction.
3. Account Registration
   You agree to provide accurate, complete account information and maintain its security.
4. License and Restrictions
   You are granted a non-exclusive, non-transferable license to use the Services. You may not:

   • Reverse engineer or modify the software
   • Use the Services unlawfully
   • Sublicense or resell access
5. Subscriptions and Billing

   Subscription fees apply for premium features. Our pricing consists of a base subscription fee plus usage-based overage charges for resources analysed beyond your plan's included allowance.

   Refund Policy: You have a 14-day refund window from the start of your paid subscription (trial periods do not count towards this window). Within this period, you may request a refund of your base subscription fee only. Usage-based overage charges are not refundable as these resources have been consumed.    We reserve the right to change pricing with 30 days' notice.

6. License Validation
   We validate license usage regularly. Invalid licenses may result in suspended access.
7. Intellectual Property
   All IP rights in CDK Insights remain with us or our licensors.
8. Data Usage
   See our Privacy Policy. We do not retain your CDK code unless explicitly authorized.
9. Confidentiality
   Each party agrees to keep the other's confidential data secure.
10. Availability
    We aim for 99.5% uptime but make no absolute guarantees.
11. Disclaimers
    We do not guarantee that recommendations will be correct or complete. Use is at your own risk.
12. Limitation of Liability
    To the maximum extent permitted by law, our liability is capped at the greater of £100 or the amount paid by you in the last 12 months. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
13. Indemnification
    You agree to indemnify us against claims related to your use of the Services.
14. Termination
    We may suspend or terminate your account if you breach these Terms.
15. Governing Law
    This agreement is governed by the laws of the United Kingdom.
16. Changes
    We may update these Terms. Continued use means acceptance of any changes.
